Navigator Holdings Ltd., known as Navigator Gas and listed on the New York Stock Exchange under the symbol NVGS, announced that on October 8, 2026 it signed an Agreement and Plan of Merger with its wholly owned English subsidiary, Navigator Gas plc, and with Navigator Gas Merger Co Inc., a subsidiary of the new parent company. The goal is to complete the company's redomiciliation from the Marshall Islands to England and Wales.
Merger mechanism
Under the agreement, the company will merge with the acquiring entity, which will continue to exist as a wholly owned subsidiary of the new parent company. Each common share of Navigator Gas will be converted into one ordinary share of the new parent, which will become the group's listed holding company and intends to list its shares on the New York Stock Exchange under the same symbol, NVGS.
Reasons for the move
The redomiciliation aims to align Navigator's corporate structure with its operational structure, as its executive office, senior management and many of its employees are based in the United Kingdom, as are its lenders and insurers. The company expects to benefit from a well-established legal and governance framework, a competitive tax regime with an extensive network of double taxation treaties, and a mature and predictable tonnage tax regime for shipping companies.
CEO's remarks
Mads Peter Zacho, Navigator's Chief Executive Officer, noted that the redomiciliation aligns the company's legal structure with where the business is managed and operated, as well as with the location of many of its investors, lenders and insurers. He added that this reinforces the company's commitment to strong corporate governance and transparency, and provides a robust platform for future growth, investment and strategic opportunities.
