Agunsa Acquires 60% of Terminal Marítima del Grao in the Port of Castellón

Grupo Empresas Navieras (GEN), through its indirect subsidiary Agunsa Internacional, announced the acquisition of 60% of the voting capital of Terminal Marítima del Grao (TMG), a concessionaire company that operates two berthing fronts in the Port of Castellón, Spain.

The commercial operation was reported as a legally essential fact by the general manager of GEN, Felipe Arriagada Subercaseaux, to the Commission for the Financial Market of Chile (CMF) and the country's main stock exchanges.

The acquisition was closed for a total amount of 3,810,681 euros and had the prior approval of the local port authority. It was finalized in alliance with Grupo Sicar, which acquired 20% of the capital through its associated firms Logística Integral Gallega and Compañía Marítima Neria.

With this incorporation, the shareholding structure of Terminal Marítima del Grao was definitively restructured among five commercial entities. According to the official register of participations, the company Agunsa Internacional ETVE, S.L. consolidates its position as the majority partner by retaining 60% of the ownership.

The remaining percentage is distributed among Horbagon, S.L. with 14%, the two companies of Grupo Sicar holding 10% each, and finally, the firm Grau 2012, S.L. which retains a minor participation equivalent to 6%.

The infrastructure incorporated by the Chilean group has a concession contract that extends until May 2054. These facilities, located in the Port of Castellón, specialize mainly in the transfer of solid bulk and record an estimated annual movement of 3 million tons of cargo.

In this context, Agunsa communicated that "with the acquisition of 60% of TMG, in the Port of Castellón, Spain, we consolidate our expansion in the Mediterranean and reinforce our commitment to the development of strategic port infrastructure".

"This incorporation, together with Grupo Sicar, drives the growth of one of the reference terminals in the handling of solid bulk and project cargo in the Spanish Mediterranean arc, combining experience, operational capacity, and a long-term vision. We continue to advance to connect markets, enhance global logistics, and generate value for our clients," it added.

For its part, GEN stated that "this important milestone strengthens GEN's presence in the international port sector and consolidates its growth strategy in key markets, adding TMG to a network of assets with high development potential in the Mediterranean".

Terminal Marítima del Grao has specialized infrastructure consisting of 450 linear meters of quay and a draft of up to 12 meters, characteristics that allow it to simultaneously operate up to three vessels and handle a wide variety of specialized cargo and traffic.

TMG's facilities currently have three latest-generation mobile cranes, with a fourth unit to be incorporated soon, strengthening its operational capacity and allowing it to handle larger volumes of cargo.

The Spanish terminal would have a potential capacity of up to 6 million tons annually. Thus, the incorporation of Agunsa and Grupo Sicar into TMG would respond to a long-term strategic vision aimed at consolidating the port facility as a multipurpose terminal.
