AD Ports Group received a notification from L'Imad Holding Company, a sovereign investor of the Government of Abu Dhabi, regarding its intention to submit a voluntary and conditional cash public tender offer (PTO), through its subsidiary Abu Dhabi Developmental Holding Company (ADQ), to acquire up to 100% of the issued and paid-up share capital of AD Ports Group not yet held by ADQ.
L'Imad, which through ADQ owns 75.42% of AD Ports Group, plans to offer USD 1.7 per share, representing a 23% premium over the last closing share price of USD 1.39 per share on August 14, 2026; a 25% premium over the last month's volume-weighted average price (VWAP) of USD 1.37 per share; a 31% premium over the last three months' VWAP of USD 1.3 per unit; and a 95% premium over AD Ports Group's listing price on the ADX on February 8, 2022, of USD 0.87 per share.
This matter will be presented to the Group's Board of Directors and the necessary procedures will be followed in accordance with the decision of the Chairman of the Board of Directors of the Capital Markets Authority of 2017 regarding the Rules for the Acquisition and Merger of Public Joint Stock Companies.
AD Ports Group announced that it will make further announcements regarding any relevant developments on this matter in due course.
